These Terms of Use (the "Terms") apply to your access to and use of healthbuyrx.com and the pages, content, products and services made available through it (together, the "Site" and the "Services"), which are operated by Health Buy Inc and its affiliates ("HealthBuyRx," "HealthBuy," "we," "us" or "our"). Some Services, including HealthBuyRx, are provided by third parties we contract with, such as our telehealth partner and the licensed healthcare professionals and pharmacies in its network (each a "Third Party").
Your use of the Site and Services is subject to these Terms and to any other written agreement between you and us. Particular Services may carry additional posted terms, which apply in addition to these Terms. By accessing or using the Site you agree to these Terms as updated from time to time. Please read them carefully, including Section 19, which contains an arbitration agreement and class action waiver that affect how disputes are resolved. If you do not agree, do not use the Site or Services. We may revise these Terms at any time; revisions take effect when posted unless we say otherwise.
1. Privacy
Our Privacy Policy, California Privacy Notice and HIPAA Notice of Privacy Practices are part of these Terms and are incorporated by reference. By accepting these Terms you agree to the collection, use and disclosure of information described in them.
2. Not medical advice
The content on the Site, including product descriptions, guides, articles and FAQs, is for general information only and is not a substitute for professional medical advice, diagnosis or treatment. Dietary supplement statements on the Site have not been evaluated by the Food and Drug Administration, and our supplements are not intended to diagnose, treat, cure or prevent any disease. Over-the-counter products should be used according to their Drug Facts labels.

We do not recommend or endorse any specific prescription drug, treatment, healthcare provider or pharmacy that may be mentioned on the Site. Reliance on any information provided by us, our employees or Third Parties is at your own risk.
3. Our Services
Retail products
We sell dietary supplements, skin care and personal care products for personal use. Product descriptions, pricing, package options and availability are described on each product page and may change without notice. Multi-pack and promotional pricing applies only as shown at checkout. Subscriptions renew automatically at the frequency you choose and are charged to your saved payment method on each renewal date; you can skip, pause or cancel at any time before a renewal through Manage Your Subscription, and our Subscription Policy applies. Shipping is described in our Shipping Policy, and returns in our Returns & Refund Policy, each of which is part of these Terms.
HealthBuyRx
HealthBuyRx connects adults in eligible states with licensed healthcare professionals who review an online intake and decide, in their independent professional judgment, whether prescription weight-loss treatment is appropriate. Clinical care is provided by those professionals, and any medication is dispensed by a licensed pharmacy, not by HealthBuyRx. There is no guarantee that you will be treated by a provider or issued a prescription; a provider may decline care for any reason that, in their judgment, makes the Services medically or ethically inappropriate, including suspected misuse. Availability depends on your state and may require a video or phone consultation. Medication is dispensed by a licensed pharmacy in HealthBuyRx's network of affiliated pharmacies unless you direct your prescription to a pharmacy of your choosing; to use your own pharmacy, email support@healthbuy.com before completing your order. We cannot guarantee pricing at a pharmacy outside our network.
The Services are not health insurance and are not a substitute for health insurance. We do not bill insurance, Medicare or any other payor, and by using HealthBuyRx you agree not to submit a claim for the services to Medicare, any other federal or state program, or any private payor.

General
The Site and Services are for personal, non-commercial use, and your use is voluntary. You are responsible for any phone and data charges you incur. We may disable the Site or any feature, or make it available to anyone, at any time without notice or liability. If your access is terminated or cancelled, your right to use the Services ends immediately and you must stop using the Site; sections of these Terms that by their nature should survive will survive. We do not guarantee the quality of products or services provided by any Third Party, including any pharmacy, vendor or service provider.
4. Eligibility and accounts
You must be 18 years of age or older to use the Site, place an order or use HealthBuyRx, and by using the Site you represent that you are. If you use the Site on behalf of someone for whom you are legally responsible, you are responsible for complying with these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account, and you agree to give us accurate, current information and to keep it updated.
5. Orders, pricing and payment
Placing an order is an offer to buy; we may accept or decline it, limit quantities, or cancel an order for reasons including suspected fraud, pricing or stock errors, or resale. Prices are in US dollars and exclude shipping and taxes unless stated. We try to keep prices and descriptions accurate, but errors can occur; if a price is wrong, we will contact you and you may accept the correct price or cancel. You authorize us and our payment processors to charge your payment method for the orders, subscriptions and services you request. Products are for personal use and may not be resold.
6. Electronic communications
When you use the Site, email us or text us, you communicate with us electronically, and you consent to receive communications from us electronically by email, by text message at the mobile number you provide, and by notices posted on the Site. Transactional texts are governed by our SMS Terms and Conditions; marketing texts are sent only if you opt in separately, and you can reply STOP at any time. Your text-message consent is not shared with third parties for their marketing. You acknowledge that email and text are not secure methods of communication and that there is some risk of interception by unauthorized parties. You agree that all agreements, notices, disclosures and other communications we provide electronically satisfy any legal requirement that they be in writing.
7. Intellectual property
All content on the Site, including text, graphics, logos, product photography, designs, icons, images, audio and video, data compilations and software, and the selection and arrangement of that content, is the property of HealthBuyRx or its content suppliers and is protected by United States and international copyright, trademark, trade dress and other intellectual property laws. You may use the Site only for its intended purpose. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any content from the Site, or use it on any other website or app, without our prior written permission. "HealthBuyRx," the HealthBuyRx and HealthBuy logos and our product names are trademarks of Health Buy Inc; other marks belong to their owners. Nothing in these Terms grants you any right to use our marks.
8. Your conduct
You agree to comply with all applicable laws when using the Site and, in addition, not to:
- interfere with the proper working or security of the Site or damage any materials available through it;
- solicit or engage in any illegal activity or any activity that infringes our rights or the rights of others;
- attempt to gain unauthorized access to any part of the Site, to other systems or networks connected to it, or to any of our servers or Services, including by hacking or password mining;
- probe, scan or test the vulnerability of the Site or any connected network, or breach or bypass its security or authentication measures;
- upload or transmit viruses or any code designed to interrupt, destroy or limit the functionality of software, hardware or telecommunications equipment;
- use the Site to obtain information about anyone other than yourself or a person whose care you are legally authorized to manage;
- use robots, spiders, scrapers or other automated means to access or collect content from the Site without our written permission;
- impersonate any person or provide inaccurate information; or
- use the Site for any purpose that is unlawful or prohibited by these Terms.
You are financially responsible for all use of the Site through your account. We may suspend or terminate your access at any time, without notice, for violating these Terms.
9. Reviews and submissions
If you post a review, comment or other content on the Site, you grant HealthBuyRx a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, publish and display it in connection with our business. You represent that your content is accurate, is your own, does not violate anyone's rights and does not contain health claims that are false or misleading. We may remove or decline to post any content at our discretion.
10. Marketing
Whether or not you have opted out of marketing messages, by using the Site you agree that we may market our products and services, and those of other companies, on the Site through banners, links and similar means. Non-affiliated companies are solely responsible for the products and services they provide, and we do not endorse or guarantee them. You may opt out of marketing emails at any time using the unsubscribe link in any marketing message or by contacting support@healthbuy.com; you will continue to receive non-promotional messages about your orders, subscriptions, account and important administrative, technical or safety matters.
11. Accuracy of information
We try to make the information on the Site as accurate as possible, but it may occasionally be inaccurate, incomplete or out of date. If a price or description is not as shown, your sole remedy is to accept the corrected information or forgo the transaction. WE MAKE NO REPRESENTATION AS TO THE COMPLETENESS, ACCURACY OR CURRENCY OF ANY INFORMATION ON THE SITE, HAVE NO DUTY TO UPDATE IT, AND YOUR RELIANCE ON IT IS AT YOUR OWN RISK.
12. Links to other sites
The Site contains links to third-party websites and services we do not control, including our telehealth partner's intake and patient portal. We are not responsible for their content or for how they collect, use or disclose your information. A link does not imply endorsement, association or any warranty. Please review the terms and privacy policies of every site you visit.
13. Security and safety
Information you submit to the Site is transmitted at your own risk, and we are not responsible for unauthorized access to or use of information resulting from circumstances outside our reasonable control. The security of your own devices and of the credentials you use to access your account or patient portal is your responsibility.
14. Disclaimer of warranties
THE SITE, THE SERVICES AND ALL PRODUCTS AND CONTENT, INCLUDING SERVICES PROVIDED BY THIRD PARTIES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY LAW. WE SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE ARE NOT RESPONSIBLE FOR THE SERVICES OR CONDUCT OF ANY THIRD PARTY. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY PRODUCT OR SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE ANY PARTICULAR RESULT. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE. 15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHBUY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND THIRD PARTIES WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE, THE SERVICES OR ANY PRODUCT, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE, THE SERVICES OR ANY PRODUCT WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS, WHICHEVER IS GREATER. 16. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS HEALTHBUY AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS FROM AND AGAINST ALL LOSSES, CLAIMS, LIABILITIES, DEMANDS, DAMAGES, JUDGMENTS, SETTLEMENTS, FINES, PENALTIES, COSTS AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR VIOLATION OF APPLICABLE LAW, (B) YOUR MISUSE OF THE SITE, THE SERVICES OR ANY PRODUCT, OR (C) YOUR BREACH OF THESE TERMS OR ANY OTHER TERMS ON THE SITE. WE RESERVE THE RIGHT TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER SUBJECT TO INDEMNIFICATION BY YOU, AND YOU AGREE TO COOPERATE WITH THAT DEFENSE.
17. Changes to these Terms
We may modify these Terms, in whole or in part, at any time. Modifications take effect when the revised Terms are posted on the Site. Check the "last updated" date at the top of this page to see whether the Terms have changed since you last reviewed them. Your continued use of the Site after that date means you agree to the updated Terms.
18. Access or use outside the United States
We ship retail orders to many countries, and international orders are subject to our Shipping Policy, local import rules and any duties or taxes your country charges. HealthBuyRx is intended only for residents of the United States and its territories; users outside the United States may not register for or use it. The Site is operated from the United States and may not comply with the laws of other countries; if you access it from elsewhere you do so at your own initiative and are responsible for compliance with local law.
19. Dispute resolution and arbitration
Informal resolution first. If you have a dispute with us, contact us at support@healthbuy.com or at the address in Section 23 with a description of the dispute and the relief you want, and we will try to resolve it informally within 30 days.
Binding arbitration. If we cannot resolve a dispute informally, you and HealthBuyRx agree that any dispute, claim or controversy arising out of or relating to these Terms, the Site, the Services or any product will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitrator will apply Wyoming law and applicable federal law and may award the same individual relief a court could. The arbitration may be conducted by video, telephone or written submissions, or in the county where you live. For claims under $10,000 we will pay the AAA filing, administration and arbitrator fees unless the arbitrator finds the claim frivolous. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AND HEALTHBUY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.
Opt-out. You may opt out of this arbitration agreement by sending written notice to the address in Section 23 within 30 days of first accepting these Terms, stating your name, address and that you wish to opt out. Disputes between you and other users of the Site, or between you and any Third Party, are not our responsibility.
20. Governing law
These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law rules, except that matters affecting copyrights, trademarks and patents are governed by US federal law. Subject to Section 19, any court proceeding will be brought in the state or federal courts located in Sheridan County, Wyoming, and you consent to their jurisdiction.
21. Severability, entire agreement and waiver
If an arbitrator or court determines that any part of these Terms is illegal or unenforceable, that part will be eliminated and the remaining Terms will remain in force. These Terms, together with the documents expressly incorporated by reference, are the entire agreement between you and HealthBuyRx about your use of the Site and supersede all prior agreements, representations and warranties, written or oral. Our failure to enforce any provision is not a waiver of it. We may assign these Terms; you may not assign them without our written consent.
22. Operation of the Site
We may, at any time, at our sole discretion, with or without notice and without liability to you, (a) modify, suspend or terminate the operation of the Site or your access to it or any part of it, including for violation of these Terms; (b) modify or change the Site or any part of it; and (c) interrupt the Site's regular operation to perform maintenance, correct errors or make other changes.

We respect the intellectual property of others and respond to notices of claimed copyright infringement that comply with the DMCA (17 U.S.C. §512). If you believe material on the Site infringes a copyright you own or control, send a written notice to our designated agent that includes: a description of the copyrighted work; the location on the Site of the material you claim is infringing; your name, address, telephone number and email address; a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and your physical or electronic signature. We will respond expeditiously, may remove or disable access to the material, and may notify the user who posted it, who may submit a counter-notification.
